\J	This is to confirm yesterday's telephone conversation.

	1. I would like to get all my III stock free of restriction, and
you will arrange this.

	2. I have sold 500 shares of the 7760 that I originally sent you,
and the remainder exists on various certificates, and you will check this.

	3. 300 shares are being transferred to Susan McCarthy and will be
sold for her benefit and she will be sent a check.

	4. 300 shares are being transferred to my ex-wife Martha McCarthy's
name, and the certificate will be sent to me for me to give to her.

	5. 200 shares are being sold by me for the Sarah McCarthy minor's
trust, and you will tell me when this has been done and how much was
realized.

	As I said on the phone, I am disappointed that all this has taken
so long.\.
